Ms. Fassett practices primarily
in the area of general business litigation, focusing on "business divorce"
situations. When business relationships become adversarial, Ms. Fassett
assists clients in making the separation as smoothly as possible. She also counsels
clients involved in or initiating business relationships so that their roles and
rights are clearly defined, and their intellectual property rights are protected,
making separation much less awkward.
Each business relationship is defined by the contracts,
licensing or development agreements among the parties. Ms. Fassett's experience
in preparing and interpreting such agreements, will help define clearly, the rights
and responsibilities of those involved in a business transaction.
Ms. Fassett works with employers
developing or revising employment policies to ensure that they are consistent
with applicable laws and regulations, taking into account any legislative changes.
She also assists employers to ensure that policies are clear and understandable
and protect employers from potential claims. She counsels employers when questions
arise, regarding employment, leave, or layoff issues, and represents them when
claims are made.
Ms. Fassett assists new business in selecting, forming
and maintaining appropriate forms of entity. Whether it be a corporation,
LLC (limited liability company), or partnership, she also helps businesses with
changes, including name changes, corporate dissolutions, or transfers of business
interests (assets or stock). Ms. Fassett also works with companies in setting
up benefit programs and compensation procedures which will serve the immediate
interests of the company and its management, and also protect it in the event
of future internal disputes. She can also assist in developing corporate compliance
programs to minimize exposure to the company arising out of future conduct by
its personnel.
